Businesses require the company’s CAC registration documents, a valid ID for the representative, and proof of address. The process usually takes 2 to 5 working days. Each person or entity should have only one TIN. Multiple TINs are illegal and can result in penalties. A TIN is required for opening a bank account, and NGOs also need a TIN for compliance, even if they are tax-exempt. You can update your TIN details if there are changes in your personal or business information. A TIN does not expire but must be kept current with the FIRS. The cost for TIN registration is ₦10,000.
A SCUML (Special Control Unit Against Money Laundering) certificate is issued by the Economic and Financial Crimes Commission (EFCC) in Nigeria. It's essential for businesses classified as Designated Non-Financial Institutions (DNFIs) to comply with anti-money laundering laws. Businesses such as real estate agents, dealers in precious stones and metals, car dealers, and other similar professions need this certificate. To apply, you need your business registration documents, identification of directors, proof of address, bank details, and TIN. The processing time is usually 2 to 4 weeks. The cost for obtaining a SCUML certificate is ₦60,000. Operating without it, if your business falls under the DNFI category, is illegal and can lead to fines or restrictions. A SCUML certificate is also required for opening a corporate bank account in many Nigerian banks. Non-compliance can result in severe penalties, including fines and legal actions.
CAC Annual Returns are mandatory yearly statements submitted to the Corporate Affairs Commission (CAC) by registered companies and organizations in Nigeria. These returns provide a comprehensive overview of the company’s financial status, business activities, and other critical details. All registered companies, including limited liability companies, business names, and incorporated trustees (NGOs), are required to file these returns. NGOs also need to file Annual Returns to maintain their legal status, including a statement of affairs. When filing, you can update certain company details, such as changes in directors or shareholders. However, Annual Returns are not the same as tax returns filed with the Federal Inland Revenue Service (FIRS). If you find errors in your filed returns, contact the CAC to correct them promptly
